Global Financial Center Dubai: Significant Updates on Corporate Framework

The Dubai International Financial Centre (DIFC) has announced significant updates to its regulatory framework for Special Purpose Companies (SPCs), aimed at broadening the usage of these entities akin to special purpose structures. This development is expected to enhance the Centre’s service offerings, establishing it as a judicial authority that facilitates efficient access to holding companies and their structures, while maintaining a governance framework that is proportional and in tune with regulatory oversight.

Enhancing Accessibility and Compliance

According to a press statement released yesterday, the updates to the SPC regulatory framework will substantially simplify the existing system, enhancing accessibility for a wider range of applicants. Jack Visser, the CEO of Legal Affairs at the DIFC, remarked, “The update to the SPC regulatory framework reflects our ongoing commitment to adopting a legal structure that is responsive, flexible, and aligned with business needs. This enhancement will broaden access to holding companies and special purpose structures for legal purposes.”

The new regulations stipulate that, in most cases, applicants must appoint a licensed Corporate Service Provider (CSP) from the DIFC. This is to ensure effective compliance oversight and regulatory interaction, aligning with the Centre’s standards of transparency, governance, and regulatory integrity.

Removal of Eligibility Criteria

The updated framework has abolished previous eligibility criteria, allowing any applicant to establish or continue an SPC within the DIFC, providing they utilise a licensed CSP as the primary administrative point of contact with the Centre’s Companies Registrar.

This change is anticipated to significantly expand access to the SPC system at the DIFC, enabling a broader array of applicants to leverage the Centre’s distinguished legal framework for holding and structural purposes while ensuring adequate regulatory safeguards remain in place.

Guidelines for Special Purpose Companies

Key features of the amended SPC regulations include the removal of eligibility standards, allowing any applicant to establish these companies, contingent upon compliance with CSP requirements. The regulations specify that an SPC must remain “holding” in nature, only to be used for permitted holding or structuring purposes. Furthermore, usage in relation to offering financial services is permissible as long as it complies with existing legislation under the Dubai Financial Services Authority. Importantly, SPCs are not permitted to employ staff, ensuring they remain inherently non-operational.

These transformative changes positioned by the DIFC reinforce the Centre’s dedication to creating a conducive environment for business while safeguarding necessary regulatory measures. The updates are expected to invigorate the financial landscape in Dubai and attract more entities to the DIFC’s unique legal and regulatory ecosystem.
